Terms of Service

1. Operator and agreement

These terms govern AI diagram agent at aidiagramagent.com, operated by Terence XU, an individual based in China. References to "we" or "us" mean that operator. Questions can be sent to [email protected].

Read these terms before creating an account or placing an order. The agreement consists of the terms presented to you and the plan, price and billing interval you accept at checkout. If acting for a business, you must have authority to bind it. Nothing here removes mandatory legal rights.

You must be legally able to enter this agreement. The service is not intended for children under 14. A minor unable to contract independently must have a parent or guardian's authorization and supervision, including for purchases.

2. The service and your account

The Agent uses conversation and supported materials to create and revise diagrams. Features include versions, manual editing, supported exports, sharing, Projects, brand palettes and optional memory. Formats, file sizes, storage and other limits are shown in the product and on the Pricing page.

Provide accurate account information, protect your credentials and report unauthorized access. You are responsible for authorized account activity; this does not make you automatically liable for activity caused by a failure for which we are legally responsible. Guest work is temporary and must be claimed within its access window to retain it in an account.

Features depend on available models and infrastructure. We do not guarantee a particular completion time, number of successful diagrams per credit balance or uninterrupted availability. Service commitments and remedies required by law still apply.

3. AI output requires review

Generated results can contain inaccurate labels, missing relationships, incorrect values or unsuitable layouts. Check results against your sources before relying on, publishing or sharing them. Automated layout checks do not certify factual correctness, legal compliance or safety.

The service provides visual communication assistance, not professional medical, legal, financial, engineering or safety advice. Obtain appropriate professional review where errors could cause harm. Do not misleadingly represent AI output as independently verified or human-authored, and follow applicable AI-content labeling and disclosure requirements.

4. Your content and output rights

You retain the rights you hold in prompts, files, brand assets and other submitted content. You grant us limited, non-exclusive permission to process, store, reproduce, display and transmit it only as needed to provide your requested service, maintain security, investigate support issues and comply with law. This includes necessary provider processing and showing a result to recipients when you enable sharing.

As between you and us, you may use and export your diagrams, including commercially, subject to these terms, applicable law and third-party rights. To the extent we acquire transferable rights in output created for you, we assign those rights to you. We do not guarantee that output is unique, copyrightable, registrable or free of another person's rights.

This does not transfer ownership of our software, templates, trademarks or third-party components. We do not obtain a general right to publish private work in marketing. Deletion ends ordinary service use, subject to necessary deletion processing, legal retention and copies already shared with others.

5. Permitted use and complaints

Acceptable Use Policy (AUP), version 2026-09-28.1. These rules apply to prompts, uploaded materials, generated content, manual edits and shared diagrams. Do not request, upload or share:

• Sexually explicit content or pornography.
• Sexual solicitation or sexually suggestive material outside the service’s diagramming purpose.
• Sexual exploitation or sexualization of minors, including synthetic depictions.
• Threats, promotion of violent wrongdoing, or graphic violence intended to shock or encourage harm.
• Hateful attacks or incitement against people based on protected characteristics.
• Targeted harassment, threats, doxxing or non-consensual intimate content.
• Encouragement of suicide or self-harm, or instructions intended to facilitate it.
• Fraud, scams, deceptive impersonation or instructions facilitating unlawful activity.
• Malware, unauthorized access, theft of credentials or attempts to bypass service controls.
• Infringement of intellectual property, privacy or other rights; disclosure of secrets or personal data without authority.

Context matters. Legitimate education, prevention, reporting, authorized security work and requests for help are not prohibited merely because they mention a sensitive subject. Automated checks may still flag such material; use the complaint process below if you believe a decision is mistaken.

You must have the rights and permissions needed to submit and use materials. Do not infringe intellectual property or privacy, impersonate deceptively, distribute unlawful content, commit fraud, introduce malware, access unauthorized data, bypass payment or access controls, or abuse free credits through deceptive accounts or automation.

Do not upload state secrets, authentication secrets or sensitive personal data that the service is not designed to handle. These restrictions do not prevent legitimate security reporting, authorized accessibility tools or lawful use of your own exports.

Automated text and image checks support these rules. They can make mistakes and do not cover every form of abuse. A detected violation prevents the affected generation or sharing action; an unavailable check pauses that action without treating it as approval. Contact [email protected] with the reference shown to request manual review. A failed check does not automatically open a human review case or promise a later approval. We retain automated decision references and correspondence used to resolve complaints.

We check relevant input text and images before AI processing, generated text before displaying it (including streamed segments), and rendered diagrams before saving generated versions and creating sharing links. Text checks cover sexual content, violence, hate, harassment and self-harm. Automated image checks focus on NSFW content; they are not a comprehensive check for fraud, intellectual property infringement or every type of harm. Complaints and operator investigation supplement automated checks. Existing sharing links are not continuously rescanned. We may revoke a reported link or restrict an account after investigating abuse.

The operator reviews these rules at least monthly and when provider policies, identified abuse patterns or material errors require a change. Updates are versioned and checked against regression cases. A manual review does not itself override an automated rejection or promise that generation will become available. We communicate the outcome through support correspondence.

Report suspected infringement or abuse to [email protected], identifying the content or link, the rights or issue involved, your contact information and supporting details. We may seek clarification, restrict access where appropriate and give affected users an opportunity to respond, subject to urgent security or legal requirements.

6. Subscriptions and renewal

Paid subscriptions renew automatically for the selected monthly or annual interval until cancelled. The amount, currency, applicable taxes and billing interval appear before payment. Annual subscriptions charge the full year at once; a displayed monthly equivalent is not a monthly payment schedule.

• Starter: US$19.90 monthly or US$119.40 annually; 2,500 subscription credits per credit month.
• PRO: US$39.90 monthly or US$239.40 annually; 6,000 subscription credits per credit month.
• Credit Pack: US$14.90 for 1,500 purchased credits, as a one-time purchase. Signed-in users may buy it without a paid subscription.

Annual credits are released monthly during the paid term, not as a full-year balance immediately after payment. Current offers and taxes are confirmed at checkout. Contact us before paying if there is a material discrepancy. A new price will not apply retroactively to a purchased term. Renewal price changes require appropriate advance notice and a chance to cancel, and consent where required.

7. Changing your subscription

You may change an unpaid selection after its payment status is verified. Existing subscribers manage their subscription in Billing rather than buying a second independent subscription.

An upgrade within the same billing interval starts a new paid term after successful payment. The unused time on the old plan is credited against the new full-period price. Review the final charge, applicable tax and new renewal date on Waffo before confirming; the original renewal date is not preserved.

Downgrades and all monthly/yearly switches retain current benefits through the paid term. The target plan is charged automatically at that term's end; yearly plans charge the full year. A zero-dollar payment-method verification does not activate new benefits.

Once the payment channel confirms a future change, it cannot be replaced. You may stop future renewal, but doing so does not restore the original subscription's renewal. Your current paid benefits continue to expiry; to continue a paid plan after that, subscribe again. Ordinary cancellation without a confirmed plan change may be restored only while the payment provider permits it.

Immediate changes require at least 24 hours before renewal; next-period changes require at least one hour. On an immediate upgrade, existing subscription credits retain their original expiry and the new plan grants its first credit month. Purchased credits and the signup gift are unaffected. These rules do not silently rewrite an existing purchased contract or limit mandatory rights.

8. How credits work

AI conversation, generation, automated checks and AI revisions can consume credits. Charges depend on models and actual usage, so a diagram is not a fixed-price unit. Tasks may reserve credits temporarily; unused reservations are released on settlement. A new request or AI edit can incur a new charge.

• Subscription credits: unused monthly allocations expire on their assigned credit-month expiry date; they do not roll over. An immediate upgrade does not shorten an already-issued credit batch's expiry.
• Purchased credits: no scheduled expiry. Cancelling a subscription does not expire a purchased balance. This does not promise the service will exist forever.
• Promotional credits: the current registration gift is a one-time allocation of 100 credits, with no expiry. No daily free credits are issued. Previously issued promotional credits retain their original expiry. Eligibility and expiry appear in your account.

Viewing work, supported manual edits, exports and sharing do not consume AI credits. Insufficient balance may pause a task until you add credits and continue. A task marked failed by the system follows the failed-task credit refund process. A successfully delivered result you dislike is not automatically a technical failure.

Credits are a service entitlement, not money, an investment, interest-bearing value or a transferable payment instrument. They cannot ordinarily be transferred or withdrawn as cash. This does not exclude a legally required or approved refund or compensation.

9. Cancellation and refunds

Cancel future renewal in Billing settings before the next charge. If the control is unavailable or fails, contact [email protected] promptly. Cancellation generally preserves paid access until the current term ends and stops the next renewal; it is different from an immediate cash refund.

Request a cash refund by emailing [email protected]. Include your account email, order reference, purchase date and reason. We review requests manually, considering the transaction, usage, service failures and legal rights. There is no automatic cash-refund button or blanket promise that every request will be approved.

Mandatory cancellation, withdrawal, conformity and refund rights remain available. Where a cooling-off or withdrawal right applies to a digital service, starting to use it does not by itself waive that right. Any legally permitted loss of the right requires the specific disclosures and consent required by law. Promotional credits have no purchase price to refund.

An approved payment refund may reverse associated unused credits or subscription entitlements to prevent double recovery; we will explain relevant adjustments. Processing times depend on the provider, bank and payment method. Report unauthorized or duplicate charges promptly. Your rights against a payment provider are unaffected.

10. Saved work, sharing and deletion

Saved versions are distinct records. A sharing link refers to the selected version and can be revoked. Recipients can retain copies. Temporary export cleanup does not determine a separate sharing link's lifetime.

Cancelling a subscription does not automatically delete saved work. Existing work remains subject to account access, storage and legal limits; exceeding your allowance may restrict new storage. Keep independent copies of important results.

Account deletion and subscription cancellation are separate actions. Review renewal status and contact support if you need help closing a paid account. Deletion cannot recall downloaded copies. Our Privacy Policy explains retention and personal-information controls.

11. Service changes and suspension

We may restrict requests or suspend access when reasonably necessary to address abuse, security risks, non-payment or a legal obligation. Where practicable, we explain the reason and how to report a mistake. Urgent action or legal restrictions may limit advance notice.

Material reductions to a paid service or a permanent shutdown will be handled with reasonable notice where possible and an opportunity to export work. Unused paid entitlements and remedies will be addressed under the contract and applicable law. These terms do not give us an unrestricted right to confiscate purchased balances or cancel paid services without addressing your rights.

12. Responsibility and limits

We provide the service with the care required by applicable law. AI results are probabilistic, and third-party outages or events outside reasonable control can affect availability. Except for express commitments and legal guarantees, we do not promise a particular commercial outcome, uninterrupted operation or error-free output.

No term excludes liability for fraud, intentional misconduct, gross negligence, personal injury where exclusion is prohibited, or any liability that cannot lawfully be excluded. Consumer guarantees, data-protection rights and statutory remedies remain intact. Responsibility for loss is determined by applicable law, including causation, foreseeability and reasonable steps to limit loss; this is not a blanket exclusion of liability.

13. Applicable law and disputes

Subject to mandatory conflict-of-law and consumer-protection rules, these terms are governed by the laws of the People's Republic of China. Consumers retain mandatory protections of their country of habitual residence where applicable.

Contact [email protected] to try to resolve a dispute. If unresolved, either party may bring a claim before a court with jurisdiction under applicable law. These terms do not require binding private arbitration, waive collective remedies or designate an exclusive court in a particular city. You may also use any legally available complaint or dispute-resolution process.

14. Changes and interpretation

We will give appropriate notice of material changes. Changes apply prospectively, with further agreement where required; they do not retroactively remove accrued rights or alter an accepted purchase without a lawful basis. If a term is unenforceable, the remainder continues only to the extent permitted by law.

The website and these terms are in English. Ask for clarification before purchasing if a provision is unclear. This language choice does not override mandatory requirements to provide information in another language. Our Privacy Policy and Cookie Policy explain data handling; accepting these terms does not replace separate privacy consent where required.
